This Agreement is made and entered into by and between Eduabroadeasy and “Client” on the date the services was paid in full or in installments. The fact of the payment proofs the acceptance of the present Agreement by the Client. In addition to the present Agreement, the other Agreement can be signed by Client and Eduabroadeasy, which clarifies points 1.2, 1.3 and 2, the rest shell be kept identical to the present Agreement.
In consideration of the mutual covenants and promises contained herein, and for good and valuable consideration, the parties hereby agree as follows:
The parties agree that the educational recommendations are provided on a best effort basis, as a result of Eduabroadeasy’s professional evaluations of the student’s needs, interests and abilities and are based on accuracy of information submitted by the student and materials available from schools. The Consultant shall neither solicit nor accept compensation from any institutions for placement of the client.
Eduabroadeasy agrees to perform the following services

In case it is the Creative Specialities package or PhD (postdoct etc.) package or governmental package, some of the part of the package will be added or amended.
The Consulting consist of the oral consultation via skype, as well as the preparation time by the consultant.
2. Timing of the services:
2.1 EduAbroadEasy will endeavor to respond to Client promptly but the Consultant is not required to respond to Client or turn any documents around in fewer than 24 hours.
2.2. EduAbroadEasy exercises good faith efforts to return Client requests or phone calls and any documents within two (2) Business Days. “Business Day” shall mean any day during which EduAbroadEasy is open for business between the hours of 9:00 a.m. PST and 9:00 p.m. PST, other than Saturday and Sunday and designated holidays (Table 2. Schedule A).
2.3 Any document submitted to the EduAbroadEasy between 9:00 a.m. and 9:00 p.m. PST will be returned to the Client before 9:00 p.m. PST as indicated day in the Table 1 below. All inquiries made and documents sent after 9:00 p.m. PST on a Business Day will be considered to have been received as of the next Business Day.

2.4 The final proofreading done by native speaker will be returned to the Client in no less than 4 business days.
2.5 It is Client’s responsibility to plan the work around the deadlines. EduAbroadEasy has no power over program deadlines and not responsible for their change.
3. EDUABROADEASY FORMS
3.1. EduAbroadEasy is unable to provide guidance and start work on the package unless Consultant concludes that forms filled in by the Client are as detail as possible in contrast with general one-line answers. It is up to Consultant to determent the quality information provided by Client on the forms.
3.2. The initial fully filled in forms with information related to all priority programs (Table 1.) has to be provided to the Consultant in no more than 30 calendar days after receiving this Agreement Addendum. If Client fails to do so, EduAbroadEasy can not guarantee its ability to accommodate the Client’s needs within application round 2016-17.
3.3. In case when the form is filled in too generally, Consultant will schedule the call to discuss the paperwork and provide the guidance. After this it is the Client’s responsibility to refill and resubmit the forms within 14 calendar days after the call. If Client fails to do so, EduAbroadEasy can not guarantee its ability to accommodate the Client’s needs within application round 2016-17.
3.4 All forms have to be filled in English. EduAbroadEasy does not translate forms and / or any information provided by the Client. The translation has to be done by Client. The forms, essays or other relevant documents will not be accepted by the Consultant in work, if it will be suspected that they were translated by online automated translator.
Prior to program search, or at first consulting conference (via e-mail or skype) provide the following information:
In consideration for the services to be performed by Eduabroadeasy, Client agrees to pay Eduabroadeasy for chosen service in full or in installments agreed between Client and Eduabroadeasy in writing.
This fee is inclusive and is not refunded. Client is obliged to pay the bill in full prior to the start of services. The payment ought to be made by online site eduabroadeasy.com. In case of the installment payment Client will be paying them using the special code, provided by Eduabroadeasy.
The prices are quoted for the services available as of the date stated in the additional signed contract with Client. The prices on the website can be changed without the notice. If the contract was entered in by the payment on the website and is paid in installments, than for the rest of the payment the price as fixed.
If additional work is required or changes to the materials are necessary, the cost will be agreed upon before adding anything new. If additional compensation can not be agreed upon, the consultant will be paid what has been earned to date and the contract will be terminated.
Eduabroadeasy does not offer a refund if the client stops participating for any reason except a major failure on our part to provide services as specified in this Agreement.
Upon being notified that parties to this Agreement consider information confidential, each party agrees not to disclose the confidential information to third parties, directly or indirectly, under any circumstances or by any means, to any third party without the express, written consent of each party. Under no circumstances short of a court order will Eduabroadeasy reveal any information about a client. Eduabroadeasy will hold in the strictest confidence all information including clients' names, contact information, test scores and background material.
Eduabroadeasy assigns to Client the following intellectual property rights in the work created or developed by Eduabroadeasy under this Agreement, namely: Curriculum Vitae, (2) Faculty Recommendations, Personal Statement, Completed Application Documents. The rights granted above are nonexclusive. All the materials provided by Eduabroadeasy are confidential and intended for the client only. The copyright for the educational materials, samples and guidelines belong to Eduabroadeasy.
By purchasing the Eduabroadeasy's Service and paying through the website eduabroadeasy.com, Client enters present Agreement and acknowledges that (A) this Agreement will become legally binding upon its acceptance of the payment by Eduabroadeasy, and (B) Eduabroadeasy makes no representations or warranties to Client, either expressed or implied, except to the extent set forth in this Agreement.
Services offered by Eduabroadeasy are provided “as is” without any warranty of any kind, either express or implied. Client agrees to be entirely responsible for the results Client gets from your relationship with Eduabroadeasy and any decisions Client makes as a result. Eduabroadeasy does not share in that responsibility. Eduabroadeasy does not make any claims or offer warranties other than what is stated in this Agreement.
Consideration for this release and disclaimer of liability on behalf of Eduabroadeasy, shall be the services rendered by Eduabroadeasy. The client acknowledges that the consulting provided by Eduabroadeasy is not to be construed as prophetic and acknowledges that such consulting provides freedom of personal choice at all times. There is no guarantee, implied or otherwise, that the consulting services provided by Eduabroadeasy, will enhance admission to school or University or other program. To the maximum extent permitted by applicable law, you agree that you will not hold Eduabroadeasy or our affiliates, directors, officers, employees, contractors, or representatives liable for any damages resulting from denied admission to any program, any denial of employment, or any other adverse consequences of your use of our services. You acknowledge that you solely bear the responsibility for the preparation of your application materials (including but not limited to essays, cover letters, resumes, answers to application questions and addendums).
You acknowledge that Eduabroadeasy have not made any representations or promises about the effect our services will have on your chances of employment or admission to any program. Eduabroadeasy are not your attorneys and are not acting as one, nothing in the consulting services provided by Eduabroadeasy constitutes legal advice.
To the maximum extent permitted by applicable law, in no event will Eduabroadeasy, its affiliates, directors, officers, employees, contractors, or representatives be held liable for any damages of any kind, including without limitation compensatory, direct, indirect, or consequential damages, loss of income, loss of or damage to property, and claims of third parties arising from any clients’ use of any information or services provided or offered by Eduabroadeasy.
The Agreement is terminated once all obligations by Eduabroadeasy are fulfilled.
Eduabroadeasy does not offer a refund if the client stops participating for any reason except a major failure on Eduabroadeasy part to provide services as specified in this Agreement.
If Client paid with installment payments Client has a right to receive the amount of work up to the amount paid, after that Agreement is terminated. In cases when Clients later would like to reinstate the relationships, the new Agreement shell be entered with the prices effective in the date of new Agreement.
Any claim relating to the services provided by Eduabroadeasy is governed by the laws of the State of California. Any claim or controversy arising out of this Agreement and/or services by Eduabroadeasy or to any acts or omissions for which you may contend that we are liable, including but not limited to any claim or controversy as to the arbitrability of such dispute shall be first mediated and if the agreement was not achieved finally and exclusively settled by binding arbitration under the Commercial Rules of the American Arbitration Association. The arbitration shall be conducted by one impartial arbitrator, selected by mutual agreement. The arbitrator shall be an attorney, or a retired judge. The proceedings shall be held in Los Angeles County, California. The arbitrator shall be bound by any limitations and/or exclusions of liability as set forth in this Agreement. The losing side is responsible for the attorneys fee. You thus give up your right to go to Court to assert or defend your rights. Your rights will be determined by a neutral arbitrator and not a Judge or Jury.
